Abstract
El presente trabajo aborda de una manera crítica y objetiva el artículo 1451 del Código Civil, y en concreto intenta dar algo de luz a las constantes dudas doctrinales que plantean las nociones de «promesa de contrato» y «precontrato», así como el hecho de que la jurisprudencia utilice el precontrato para hacer referencia a numerosas realidades, y el esfuerzo de la doctrina por intentar describir dicha figura por medio de numerosas teorías. El principal problema existente es la dificultad en la actualidad para poder diferenciar la promesa de venta y la compraventa definitiva. Todo ello enmarcado en un estudio de estas figuras de acuerdo con las propuestas de modificación, y la regulación europea al respecto. --------------
The present work approaches in a critical and objective way the article 1451 of the Civil Code, specially tries to give some light to the constant doctrinal doubts that raise the notions of «promise of contract» and «precontract», as well as the fact of that the jurisprudence use the pre-contract to refer to numerous realities, and the effort of the doctrine to try to describe this figure by means of numerous theories. The main problem is the current difficulty to differentiate the promise of sale and final purchase. All this framed in a study of these figures in accordance with the proposals for modification, and European regulation in this regard.
